At Crocs, we have strong corporate governance mechanisms in place along with robust internal controls over our financial reporting framework.

Compliance Program Frameworks

We have Enterprise Risk Management and Ethics & Compliance program frameworks, with regular updates provided to our Board committees as well as our Board.

The Compensation Committee has shared responsibility for Human Capital management within the Board. We also conduct regular Tone-at-the-Top Surveys to measure the effectiveness of our compliance efforts.

Robust Training Efforts

We conduct annual in-person and online compliance training for all corporate employees, as well as retail and distribution center management. We have also expanded our compliance training to select business partners with a risk-based focus.

Ethics Hotline Administration

We maintain a global ethics hotline which is administered by the Legal department. Quarterly updates on hotline complaint activity, benchmarking and trend analysis is provided to the Audit Committee of our Board.

ESG Program Oversight

For our ESG efforts, Crocs has established an ESG management and oversight framework under the direction of our Executive Vice President, Chief Legal & Risk Officer. The Governance and Nominating Committee of our Board oversees our ESG efforts.
